Terms and conditions
1. General conditions
Porrini Franco SPA S.r.l., with legal domicile in Casorate Sempione, Via 2 Giugno, 34/36/38, Tax Code and VAT number 01289320127, registered in Varese's Register of companies n. 171300 (henceforward referred to as “Porrini Franco SPA”), is titular of the site http://www.porrinifrancospa.it (hereafter referred to as “Site”) and he can be contacted at the email address email@example.com.
The present general selling conditions are regulated by the rules concerning e-commerce, and more precisely by legislative decree 2003 April 9, n.70, “Implementation of Directive 2000/31/CE concerning juridical aspects of social welfare and information in national market, with special reference to e-commerce”.
The products are charged the prices published on the site or in the order's confirmation in the moment of its conclusion. All prices are VAT included, except in cases where the shipping address of the Purchaser or the Purchaser's default address saved in the profile thereof is located abroad: that being the case, the invoice shall include the breakdown of the VAT taxable and payable amounts.
Delivery costs shall be indicated upon order confirmation.
By clicking the "Accept" button the user shall accept these sales terms and conditions and undertake to pay the indicated price as provided for by and directly agreed with Porrini Franco SPA.
If no error messages appear, the Purchaser shall successfully end the procedure by clicking on the accept button. The agreement is deemed as entered into upon receipt of the order by Porrini Franco SPA.
In case of mistaken data or orders, the user must immediately contact Porrini Franco SPA to the address indicated in the epigraph.
Porrini Franco SPA would correct eventual errors only in case they are immediately communicated; otherwise, Porrini Franco SPA will proceed with the order according to the data included in it.
Eventual extra charges occasioned by error in data not informed promptly, will be charged to the client.
4. Payment methods
Unless otherwise agreed, invoices shall be paid: in advance or under any other terms agreed between the parties.
5. Shipment conditions and delays
The Purchaser shall be entitled to choose between two shipping methods:
A) by express courier;
B) with another scheduled delivery.
If the shipment by express courier is preferred, Porrini Franco SPA shall provide the Purchaser with the related costs. The Purchaser shall then have the right to confirm it or to change the shipping method.
That being the case, the goods ordered on the Site shall be added to another delivery already scheduled and agreed between Porrini Franco SPA and the Purchaser.
5.2 Delivery times depend on the production capability of Porrini Franco SPA’s suppliers. Any delay with respect to the delivery times shall not give rise to any compensation for damages, payment of interests, suspension or cancellation of any existing orders. However, if products are not delivered within two months of the indicative delivery date due to any reason whatsoever, other than force majeure, the sale may be cancelled upon request of either party; the Purchaser shall be entitled to have its down payment returned, excluding any other form of compensation or damages. In any case, products shall be delivered only if the Purchaser has duly complied with all its obligations towards Porrini Franco SPA, regardless of the cause.
5.3 Risk transfer
The products travel on the Acquirer's risks and danger. In case of damages or lacks, it is Acquirer's duty to assess the claims and to confirm its protests to the consigner within stipulated times and terms. It is Acquirer's duty to stipulate risks and damages insurance policy for shipped merchandises.
Without excluding procedures to adopt towards consigner, claims concerning product failure or indadequacy of received merchandises compared to requested ones must be assessed by certified mail, with notification of receipt, within the three (3) following days after product reception.
Passed this term, the products will be deemed complying and thus considered exempt of any apparent failure.
According to common use, the eventual excess or lack in the quantity consigned are accepted by the Acquirer with a tolerance percent of 10% from the indications assessed in the order confirmation.
5.5 Merchandise Return Policy
Every merchandise return must be formally agreed between PORRINI FRANCO SPA and the Acquirer.
The merchandises returned without PORRINI FRANCO SPA's signed consent, will be kept in deposit at the Acquirer's disposal and will not give rise neither to credit notes or to purchase cancellation. The costs and risks of merchandise return will be charged to the Acquirer.
The merchandise return accepted by PORRINI FRANCO SPA will give place, after merchandises' quantitative and qualitative verification, to a credit note for a sum equal to purchase price (tax included).
If the return was due to an error in the Acquirer's order, and additional sum of 5€ (tax excluded) will be subtracted to the credit note, in concept of costs of control, credit note redaction and stock data entry.
Every product sold by Porrini Franco SPA counts with the warranties established by law and the commercial warranties assessed from time to time on the site.
7. Personal information Treatment
Client's personal data are treated by Porrini Franco SPA according to normative concerning personal data protection, as explicated in the corresponding informational page.

9. Applicable law and competent forum
Italian Law rules the present General Conditions and every particular trade contract, signed with Porrini Franco SPA on site.
Any inherent or consequent controversy, here included, in merely indicative and not exclusive way, relative to interpretation, execution, validity and efficiency of the above mentioned general conditions and trade contracts will be submitted to the exclusive competence of the Foro di Varese (Varese Court).
